Terms of Service

The terms that govern your use of OneTranscript.

1. Acceptance

By accessing or using OneTranscript ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description and Beta Status

OneTranscript provides AI-powered audio transcription, speaker detection, meeting summaries, and conversational search across recorded meetings.

The Service is currently in beta. Features may change, be unavailable, or behave unexpectedly. We do not guarantee uptime, accuracy, or completeness of transcription output during the beta period. Beta users accept a higher tolerance for instability in exchange for early access.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us promptly of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Content

You retain all ownership rights to the audio files, transcripts, and other content you submit ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely as necessary to provide the Service to you.

You are solely responsible for ensuring you have the legal right to record and process any conversations submitted to the Service, including any applicable consent requirements under your jurisdiction. Many jurisdictions require the consent of all parties to a recorded conversation.

We do not claim ownership of, and will not sell or license, Your Content to third parties. We do not use Your Content to train AI models (see our Privacy Policy, Section 5).

5. Acceptable Use

You agree not to use the Service to:

  • Record conversations without legally required consent.
  • Process, store, or transmit content that is illegal, defamatory, harassing, or that infringes the intellectual property rights of others.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Circumvent any rate limits, security controls, or access restrictions.
  • Use the Service to train competing AI models.
  • Resell or sublicense access to the Service without our written consent.

6. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that the privacy characteristics of the Service depend on the privacy tier you select.

7. Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in a written agreement. We may change pricing with at least 30 days' notice. If you do not accept the new pricing, you may cancel before the change takes effect.

Free and beta access may be modified or terminated at any time at our discretion.

8. Intellectual Property

OneTranscript, its logo, and all related technology are owned by TheOne Ventures and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or service names.

AI-generated transcripts, summaries, and analyses are provided as outputs of the Service. We make no warranty that these outputs are copyright-free or that they accurately reflect the source audio.

9. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content accessible via the Service infringes your copyright, you may submit a notice to our designated agent at hello@onetranscript.app with the following information:

  • Identification of the copyrighted work you claim has been infringed.
  • Identification of the material you claim is infringing and its location within the Service.
  • Your contact information (name, address, email, phone).
  • A statement that you have a good faith belief the use is not authorized by the copyright owner.
  • A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
  • Your physical or electronic signature.

We will respond to valid DMCA notices in accordance with applicable law, which may include removing or disabling access to the identified material.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSCRIPTION OUTPUT WILL BE ACCURATE, COMPLETE, OR ERROR-FREE.

ONETRANSCRIPT OUTPUT SHOULD NOT BE USED AS THE SOLE BASIS FOR LEGAL, MEDICAL, OR OTHER PROFESSIONAL DECISIONS WITHOUT INDEPENDENT VERIFICATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONETRANSCRIPT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT MADE ANY PAYMENTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless OneTranscript, TheOne Ventures, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law, including recording consent laws.
  • Your Content, including any claim that Your Content infringes the intellectual property or privacy rights of a third party.
  • Any unauthorized use of your account.

13. Termination

You may terminate your account at any time by deleting it from your account settings. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or for any other reason with 14 days' notice (or immediately if we determine your use poses a legal or security risk).

Upon termination, your right to use the Service ceases immediately and we will delete Your Content in accordance with our data retention policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration administered by JAMS under its Commercial Arbitration Rules. The arbitration shall be conducted in English. Class action waivers apply to the fullest extent permitted by law.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

15. Export Compliance

The Service may be subject to export control laws and regulations of the United States and other jurisdictions. You agree not to export, re-export, or transfer the Service or any technical data received from it in violation of applicable export control laws, including to any country subject to U.S. trade sanctions.

16. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire agreement: These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and OneTranscript regarding the Service.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet service disruptions.
  • Notices: We may provide notices to you via email to the address associated with your account. Notices to us should be sent to hello@onetranscript.app.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-product notice at least 30 days in advance. Continued use after the effective date constitutes acceptance.
